Mumbai: Kotak Mahindra Bank Managing Director and Chief Executive Officer Ashok Vaswani will step down at the end of his current term on December 31, 2026, after deciding not to seek reappointment due to personal reasons. The bank informed stock exchanges on Sunday that its Board has accepted his decision and has begun the process of appointing a successor.
In a regulatory filing, the private sector lender said Vaswani had informed the Board that he would not seek another term after the completion of his current tenure.
“The Board has respected his decision and has initiated the process for the appointment of a new Managing Director and CEO. The process will be completed within applicable regulatory timelines,” the bank said.
The lender added that it expects to have the new leadership in place well before the transition to ensure continuity in operations, governance and strategic direction.
Board begins succession planning
Kotak Mahindra Bank said it has already started the succession process in line with regulatory requirements. The Board aims to ensure a smooth leadership transition without affecting the bank’s day-to-day operations or long-term growth strategy.
The appointment of the next Managing Director and CEO will be subject to regulatory approvals, including those from the Reserve Bank of India (RBI).
The bank emphasised that the transition process will be completed within the prescribed timelines to maintain stability and investor confidence.
Vaswani succeeded Uday Kotak in 2024
Ashok Vaswani took charge as the Managing Director and CEO of Kotak Mahindra Bank on January 1, 2024, succeeding founder Uday Kotak, who stepped down after leading the bank for several decades.
Vaswani brought with him more than 35 years of global banking experience. Before joining Kotak Mahindra Bank, he held senior leadership positions at Citigroup and Barclays.
During his career, he spent over three-and-a-half decades with Citigroup before joining Barclays, where he served as Chief Executive Officer of the Global Consumer, Private, Corporate and Payments business. He was also a member of Barclays’ Group Executive Committee.
His appointment was viewed as a significant leadership transition for Kotak Mahindra Bank, marking the first time an external professional had taken over the institution’s top executive role.
Challenging tenure marked by regulatory action
Vaswani’s tenure coincided with several significant challenges for the bank.
Within months of his appointment, the Reserve Bank of India imposed restrictions on Kotak Mahindra Bank, preventing it from onboarding new customers through its online and mobile banking platforms and from issuing fresh credit cards.
The RBI cited deficiencies in the bank’s IT risk management and information security framework while announcing the supervisory action.
During the same period, the bank also faced headwinds in its microfinance portfolio as the sector experienced broader stress. The management responded by recalibrating its microfinance strategy to manage risks and improve asset quality.
Despite these operational challenges, the bank continued to focus on strengthening governance, digital infrastructure and core banking operations.
Financial performance remained resilient
Kotak Mahindra Bank reported a consolidated profit after tax of Rs 19,103 crore for the financial year 2025-26, reflecting resilient financial performance despite regulatory and sector-specific challenges.
The bank remains one of India’s leading private sector lenders, with a diversified presence across retail banking, corporate banking, wealth management, insurance and asset management.
Market participants will now closely watch the succession process, with the appointment of the next CEO expected to play a key role in shaping the bank’s future growth strategy and digital transformation initiatives.
Leadership transition ahead
The announcement comes nearly three years after Vaswani assumed office and signals another important leadership transition for one of India’s largest private banks.
With succession planning already underway, Kotak Mahindra Bank has indicated that it expects a seamless handover before the end of the year, ensuring continuity for customers, employees and shareholders.
The identity of Vaswani’s successor is expected to be announced after the completion of the Board’s selection process and receipt of the necessary regulatory approvals.
